Terms of Service
Effective September 18, 2026 · Last updated September 18, 2026
In plain language: these terms are the agreement between you and Crawford Designs, LLC when you buy or use anything we make. They cover what we owe you, what you owe us, what happens if a bill goes unpaid, and who owns what.
They are written to be read. Nothing below is hidden in a footnote, and none of it replaces a conversation — if a term does not fit your organization, tell us before you sign up rather than after.
1.This agreement
These Terms of Service (the “Terms”) are a binding agreement between Crawford Designs, LLC, an Arizona limited liability company (“Crawford Designs,” “we,” “us,” or “our”), and the person or organization that purchases or uses our services (“you” or “Customer”).
By creating an account, paying an invoice, or using any of the services described below, you agree to these Terms. If you are accepting on behalf of an organization, you confirm you are authorized to bind that organization.
“Services” means everything we provide to you: the Consort™, any website or logo design work, the client dashboard at this site, and any support that comes with them.
2.What we provide
We offer three things, and which of them applies to you depends on what you bought:
- The Consort™ — an ongoing, subscription-based hosted application for running a chorus or quartet, with a member-facing site and an administrative portal.
- Website design — project-based design and development work delivered to an agreed scope.
- Logo design — project-based identity work delivered to an agreed scope.
Subscription services continue until cancelled. Project work is governed by the written scope, price, and schedule we agree in advance; where that written scope conflicts with these Terms, the scope controls for that project only.
3.Your account
You are responsible for the accuracy of the information on your account, for keeping your login credentials confidential, and for everything done through your account.
Where you add members, officers, or other users to your platform, you are responsible for their use of it and for having the right to enter whatever information you enter about them. Tell us promptly if you believe an account has been accessed without permission.
4.Fees, billing, and renewal
- Billing cycle. Subscriptions are billed in advance on the cycle you choose — monthly, quarterly, semi-annual, or annual. Add-ons purchased mid-cycle are prorated to line up with your existing renewal date.
- Renewal. Subscriptions renew automatically at the end of each cycle unless you turn off renewal or cancel before the renewal date.
- Payment. Invoices are payable on receipt through our payment processor. We do not receive or store your card number — see our Privacy Policy.
- Price changes. We may change subscription prices, and will give you at least 30 days' notice by email before a change takes effect on your account. A change never applies to a cycle you have already paid for. If you do not want to continue at the new price, cancel before it takes effect.
- Taxes. Prices do not include sales, use, transaction privilege, or similar taxes. Where the law requires us to collect a tax, we add it to your invoice as a separate line, calculated from your billing address, and you agree to pay it. Keep your billing address accurate. Buying on behalf of a nonprofit does not by itself make a purchase tax-exempt; if you believe your organization is exempt, send us a valid exemption certificate before you pay, since tax already collected and sent to the state may not be refundable.
5.Late payment and suspension
If an invoice goes unpaid, we will allow a grace period of at least 7 days from the date it was issued before taking any action. After that grace period, we may suspend your site — it stops serving visitors and members, and shows a notice in its place.
Suspension is not deletion. Your data stays intact while a site is suspended, and paying the outstanding balance restores service automatically. We will only delete data after termination, and only as described in Termination below.
6.Cancellation and refunds
You may cancel at any time by turning off renewal or telling us in writing. Cancellation takes effect at the end of the cycle you have already paid for; your site stays live until then.
Most of what you pay for is the work of building and maintaining your site, not a metered service, so as a rule fees already paid are non-refundable and we do not prorate refunds for a partial cycle after cancellation. That applies from the first payment on a monthly, quarterly, or semi-annual plan.
Annual plans are different for the first payment only. If you are unhappy in the first 14 days after your initial annual payment, tell us and we will refund it in full. That window runs once, from your first annual payment — it does not reopen at each annual renewal, and it does not apply if you switch to annual billing from an existing subscription.
Outside that window, we will still make exceptions where it is obviously the right thing to do — a duplicate charge, a billing error on our side, or a service failure we could not put right — and you should simply ask; we may refund a partial amount where that is the fair outcome rather than the whole invoice.
Project work (website and logo design) is billed against the agreed schedule. If you end a project partway through, you owe for work completed and delivered up to that point.
7.Acceptable use
You agree not to use the Services to:
- store or share unlawful material, or material you do not have the right to use
- harass, defame, or impersonate anyone
- send unsolicited bulk email
- attempt to gain access to another customer’s data, or to any part of our systems you were not given access to
- probe, scan, overload, or otherwise interfere with the platform or the infrastructure behind it
- resell or sublicense the platform to a third party without our written agreement
A note on the unlimited storage add-on. It is for the material your organization actually runs on — sheet music, recordings, photos, documents, and the like. It is not a general-purpose cloud drive, a media library, or a backup destination for unrelated files. We do not inspect the contents of your files, so this clause is the enforcement mechanism: if usage is plainly outside what a group of your size would generate, we will raise it with you and ask you to bring it back in line before taking any other step.
8.Billing and plan controls
Your platform records which plan you are on and which add-ons you have paid for. Modifying those records directly, or otherwise circumventing the billing system to obtain features you have not paid for, is a material breach of these Terms.
We may suspend or terminate an account for it immediately and without the grace period described above, and no refund is due for a termination on this ground. We would far rather you asked us for what you need.
9.Your content and your data
- You own your content. Everything your organization enters or uploads — member records, music, documents, photos, financial records, text — remains yours. We claim no ownership of it and do not sell it, license it, or use it to train anything.
- Your database is yours. Consort™ runs against a database project held in your own account. You can export it, back it up, or take it with you at any time without asking us.
- Uploaded files. Files you upload are stored in object storage that we operate rather than in your own account. If you leave, ask us for an export and we will provide a complete copy of your files in a usable form at no charge. Please request it within 30 days of your account closing, while the data is still there.
- Our administrative access. To run the platform — to apply updates, sync what you have paid for, take backups, and provide support — we hold administrative credentials for your database project. We use that access to operate and support the Services, and not for anything else.
- You grant us a limited license to host, copy, transmit, and display your content strictly as needed to provide the Services to you. It ends when your account does.
10.Our intellectual property
The Consort™ — its software, design, structure, and documentation — belongs to Crawford Designs, LLC. Your subscription grants your organization a non-exclusive, non-transferable right to use it while your account is in good standing. It does not transfer ownership of the platform to you, and it does not give you the right to copy the software for use elsewhere or to sell it on.
Our name, logo, and brand are ours. Crawford Designs™ and Consort™ are trademarks of Crawford Designs, LLC, claimed under common law through our use of them in commerce. You may say that we built your site; please do not use our branding to suggest we endorse something we did not.
If you send us feedback or a feature suggestion, we may act on it freely and without obligation to you. We think that is the arrangement that gets features built.
11.Design and development projects
For website and logo design projects, ownership of the final delivered work transfers to you on receipt of full payment. Until then, we retain it.
What transfers is the finished deliverable. It does not include our working files, unselected concepts, or any third-party asset — a stock photograph, an icon set, or a licensed typeface — which remains under whatever license it came with. We will always tell you when a deliverable depends on a third-party license you need to hold.
You confirm that anything you give us to work with — logos, photographs, text, music — is yours to use, and that we may use it for your project.
Unless you ask us not to, we may show the finished work in our portfolio and name you as a client.
12.Support
Support is included with an active subscription and is provided by email and through the support tools in your dashboard. We aim to respond to any request within two business days, and faster when something is actually broken.
Included support covers:
- faults, errors, and anything on the platform not working as it should
- questions about how to use a feature
- help with your account, billing, and access
Support does not include:
- new features, custom development, or changes to how the platform works
- entering, migrating, or cleaning up your content for you
- training beyond ordinary questions about how something works
- problems caused by changes you make directly to your database
- support for third-party services or hardware we did not provide
Anything outside that list is work we are usually glad to do — just as a quoted piece of work rather than as support.
13.Third-party services
The Services depend on infrastructure and vendors we do not control, including our database host, content delivery and object storage provider, payment processor, and email delivery provider. Their availability and their own terms affect the Services. Our Privacy Policy names them.
We choose these vendors carefully and remain responsible to you for the Services overall, but we are not responsible for a third party's own acts, outages, or pricing.
14.Availability and disclaimers
We work to keep the Services available and to fix problems quickly, but we do not offer a guaranteed uptime commitment. Planned maintenance, vendor outages, and events outside our control will occasionally interrupt service.
We take automated backups of platform data on a regular schedule, and they are a genuine safety net rather than a formality. They are not a substitute for your own copies of anything you cannot afford to lose, and you should keep your own.
Except as expressly stated in these Terms, the Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
15.Limitation of liability
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, even if told such damages were possible.
Our total liability arising out of or relating to these Terms or the Services is limited to the amount you actually paid us in the twelve months immediately before the event that gave rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
16.Indemnification
You agree to defend and indemnify Crawford Designs, LLC against third-party claims, damages, and reasonable costs arising from content you put into the Services, from your use of the Services in breach of these Terms, or from your violation of someone else's rights.
17.Termination
You may terminate at any time as described under Cancellation and refunds. We may terminate for material breach that you do not cure within 14 days of our written notice, immediately for a breach of Billing and plan controls or a serious breach of Acceptable use, or on 60 days' notice if we discontinue the Services altogether.
After termination: your database project stays in your own account and remains yours. Files held in our object storage are retained for 30 days so you can request an export, and are deleted after that. Sections on intellectual property, liability, indemnification, and governing law survive termination.
18.Changes to these terms
We may update these Terms. When a change is material, we will give notice by email or in your dashboard before it takes effect, and the “last updated” date at the top of this page always reflects the current version.
Continuing to use the Services after a change takes effect means you accept the updated Terms. If you do not accept them, you may cancel as described above.
19.Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. The state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction, and both parties consent to venue there.
Before filing anything, please contact us and give us 30 days to resolve the problem directly. Most disagreements are a misunderstanding, and this step costs nothing.
20.Notices
We will send notices to you at the email address on your account. Please keep it current — a notice sent to a stale address still counts as delivered.
Send notices to us through the contact form, which reaches us directly and is the fastest route. For formal legal service, our registered agent and address of record are on file with the Arizona Corporation Commission's public business registry.
21.General
- Entire agreement. These Terms, together with any written project scope or order we agree with you, are the entire agreement between us and replace any prior discussion on the same subject.
- Severability. If any provision is held unenforceable, the rest stays in force and the unenforceable part is narrowed to what is enforceable.
- No waiver. Not enforcing a term once does not waive it later.
- Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition, or sale of the business.
- Independent contractors. Nothing here creates a partnership, joint venture, or employment relationship.
